Welcome to TridentCrew. These Terms and Conditions (“Terms”) govern your use of our website at tridentcrew.com and any services provided by TridentCrew. By accessing our website or engaging our services, you agree to be bound by these Terms.
1. Services
TridentCrew provides IT consulting, software development, design, digital marketing, AI photography, AI videography, and related digital services (“Services”). The specific scope, deliverables, timeline, and pricing for any engagement will be detailed in a separate Statement of Work (SOW) or project proposal agreed upon by both parties.
We reserve the right to decline any project inquiry at our sole discretion.
2. Engagement & Payment
Project Proposals. All projects begin with a discovery phase resulting in a detailed proposal including scope, timeline, and fixed-price estimate. Work commences only upon written acceptance of the proposal by the client.
Payment Terms. Unless otherwise specified in the SOW, payment is structured as follows: 40% upfront upon project commencement, 30% at the midpoint milestone, and 30% upon final delivery and acceptance. Invoices are due within 14 days of issuance.
Late Payment. Overdue invoices may accrue interest at 1.5% per month. We reserve the right to pause work on any project with outstanding invoices exceeding 30 days.
Refunds. Payments for completed work are non-refundable. If a project is cancelled mid-engagement, the client is responsible for payment of all work completed to date.
3. Intellectual Property
Client Ownership. Upon receipt of final payment, the client receives full ownership of all custom source code, design files, and digital assets created specifically for their project.
Pre-existing IP. Any tools, libraries, frameworks, or code components that existed prior to the engagement or that are developed as general-purpose utilities remain the property of TridentCrew. The client receives a perpetual, non-exclusive license to use these components within their project.
Third-Party Licenses. Open-source libraries and third-party tools integrated into client projects are subject to their respective license terms. We will disclose all third-party dependencies used in the project.
Portfolio Rights. Unless otherwise agreed in writing, TridentCrew retains the right to feature completed work in our portfolio, case studies, and marketing materials.
4. Client Responsibilities
The client agrees to provide timely feedback, approvals, and any required content, assets, or access credentials necessary for the project to proceed on schedule.
Delays caused by the client (including but not limited to late feedback, unavailable stakeholders, or missing content) may result in adjusted timelines and, in some cases, additional costs.
The client represents that all content, materials, and data provided to TridentCrew are owned by the client or properly licensed, and do not infringe on any third-party intellectual property rights.
5. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary information disclosed during the engagement. This includes, but is not limited to, business strategies, technical architectures, customer data, and financial information.
Confidentiality obligations survive the termination of the engagement for a period of two (2) years.
This obligation does not apply to information that is publicly available, independently developed, or rightfully obtained from a third party.
6. Warranties & Disclaimers
TridentCrew warrants that all Services will be performed in a professional and workmanlike manner consistent with industry standards.
Post-Launch Warranty. We provide a 30-day warranty period after project delivery during which we will fix any bugs or defects at no additional charge. Issues arising from client modifications, third-party integrations added after delivery, or hosting environment changes are excluded.
Disclaimer. Except as expressly stated above, our Services are provided “as is.” We do not warrant uninterrupted or error-free operation of any software or website, nor do we guarantee specific business outcomes, search rankings, or revenue results.
7. Limitation of Liability
To the maximum extent permitted by law, TridentCrew’s total liability arising from or related to any engagement shall not exceed the total fees paid by the client for the specific project giving rise to the claim.
In no event shall TridentCrew be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, data, or business opportunity, regardless of the cause of action.
8. Termination
Either party may terminate an engagement with 14 days’ written notice. Upon termination:
The client shall pay for all work completed and expenses incurred up to the termination date. TridentCrew shall deliver all completed work product and materials to the client. Any outstanding obligations under confidentiality, intellectual property, and payment provisions shall survive termination.
9. Website Use
By accessing our website, you agree not to: use the site for any unlawful purpose, attempt to gain unauthorized access to our systems, reproduce or distribute any content without written permission, or use automated systems (bots, scrapers) to access the site without our consent.
All content on our website — including text, graphics, logos, and images — is the property of TridentCrew and is protected by applicable intellectual property laws.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms or our Services shall be subject to the exclusive jurisdiction of the courts in Jalgaon, Maharashtra, India.
11. Changes to These Terms
We may update these Terms from time to time. The updated version will be indicated by the “Last updated” date at the top of this page. Continued use of our website or Services after changes constitutes acceptance of the revised Terms.
